About
A small practice, built around cross-border U.S. compliance.
Books & Counts is a chartered accountant practice working with founders who own U.S. entities from outside the United States, and with U.S. businesses that want their books handled properly.
Why the practice exists
It started with a form nobody had mentioned.
Raunak Mutha is a chartered accountant in Jodhpur. Over seven years of accounting and taxation work, the same conversation kept repeating: a founder somewhere outside the United States had formed an LLC, been told it was simple, and then discovered a set of filing obligations nobody had warned them about.
Most often it was Form 5472. A foreign-owned single-member LLC has to file it, the penalty for missing it starts at $25,000 a year, and forming and funding the entity is itself a reportable transaction. People were finding out about it two or three years late, from a notice.
Books & Counts exists to do that part properly. Form the entity, get the EIN, keep the books reconciled, file what the IRS and the state actually want, and stay reachable while doing it. The work is not glamorous, but it is the difference between a company that runs and one that quietly accrues penalties.
The practice works remotely with clients in all 50 u.s. states & worldwide, through secure document exchange rather than email attachments, and it stays deliberately small so that the person who answers your message is the person doing your filing.
The team
Who you will actually be dealing with.
Deliberately small. That is the point, not a stage the practice is trying to grow out of.

Founder
Chartered Accountant · U.S. & Cross-Border Tax
Raunak founded Books & Counts to do one thing properly: get founders outside the United States into a compliant U.S. entity and keep them there. He is a Chartered Accountant with seven years in accounting and taxation, a QuickBooks ProAdvisor and a Xero advisor, and he works daily on the filings that catch foreign-owned entities out, Form 5472 and the pro forma 1120 chief among them. He also runs his own practice, M. Raunak & Associates, in Jodhpur.

How we work
Five things you can hold us to.
These are not values on a wall. They are the operating rules, and you should tell us if we miss one.
- 01
The fee is agreed before the work starts
Scope and cost go to you in writing first. If the scope changes we stop and re-quote rather than adding it to the invoice.
- 02
A named person, not a queue
You deal with the accountant doing the work. Follow-up questions go to the same person who answered the first one.
- 03
WhatsApp is a real channel
Not a widget that routes to a ticket. For a compliance question that needs a straight answer today, it is usually the fastest route.
- 04
Government charges are passed through at cost
State filing fees and franchise taxes are shown at the figure the state charges. We do not mark them up and we do not bury them.
- 05
You hear from us before a deadline, not after
Every entity gets a calendar of what it owes and when. A reminder is cheaper than a penalty notice, for both of us.
